1. About These Terms

These Terms of Service ("Terms") govern your use of services provided by Discounts Mania Ltd ("we," "us," "our"), a company operating from Lagos, Nigeria. Discounts Mania Ltd helps startups and growing businesses become structured, digitized, automated, and scalable, through business registration and compliance, operational templates, advisory and training, web and digital presence services, and enterprise web software solutions.

By purchasing or using any service through our billing portal or website, you agree to be bound by these Terms.

3. Services

We offer packages including Design & Branding, Operational Templates & Documents, Business Setup & Compliance, Advisory & Training, Web & Digital Presence Services, and Enterprise Web Software Solutions  delivered under packages such as Launch, Launch Plus, Scale-Up, Corporate Identity, and Dominate, or a custom-built package. 4. Payment Terms

• Prices are listed in Nigerian Naira (₦), with approximate USD equivalents shown for reference.
• Payment is due at the point of order confirmation unless otherwise agreed in writing.
• 7 days
• For subscription or retainer-based services (e.g., Priority Support, Digital Operations Retainer), renewal terms will be stated at signup.

5. Refund Policy

• Refund requests must be submitted within 1 day(s) of purchase.
• Because many deliverables (e.g., CAC registration, design work, template creation) involve immediate work or third-party filing fees, refunds may not be available once work has commenced. 
• Approved refunds are processed within 3-5 working days to the original payment method.

6. Service-Level Agreement (SLA)

• Standard support requests receive an initial response within 24–48 business hours.
• Packages including "Priority Support" receive expedited response times as specified in that package.
• Project timelines (e.g., business registration, website builds) will be communicated at the start of each engagement and may vary based on third-party processing times (e.g., CAC approval).

7. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activity conducted under your account.

8. Termination

We reserve the right to suspend or terminate services for accounts that violate these Terms, provide false information, or engage in fraudulent activity.

9. Limitation of Liability

(a) Exclusion of Certain Damages. To the maximum extent permitted by applicable law, in no event shall Discounts Mania Ltd, its directors, employees, affiliates, or suppliers be liable to the Client or any third party for any indirect, incidental, special, exemplary, punitive, or consequential damages. This includes, without limitation, loss of profits, loss of revenue, loss of goodwill, business interruption, system downtime, corruption or loss of data, or the costs of procuring substitute software or services, arising out of or related to the services, web purchases, or software installations provided under this Agreement, even if advised of the possibility of such damages.

(b) Maximum Financial Cap. Subject to Section (d), the total aggregate financial liability of Discounts Mania Ltd for all claims, breaches, torts (including negligence), strict liability, indemnities, or otherwise arising out of or in connection with this Agreement shall be strictly capped at and limited to:

• For Web Purchases and Standalone Digital Products: The actual amount paid by the Client to Discounts Mania Ltd for the specific product or digital asset giving rise to the dispute.
• For Service Packages, Consulting, and Software Installations: The total fees actually paid by the Client to Discounts Mania Ltd for the specific package or Statement of Work (e.g., Launch Pack, Scale-Up Package, or Dominate Package) under which the liability arose, within the twelve (12) months immediately preceding the event giving rise to liability.

(c) Time Limit for Bringing Claims. Any legal action, claim, or proceeding by the Client arising out of or relating to this Agreement, a web purchase, or any services provided by Discounts Mania Ltd must be commenced within three (3) months after the cause of action accrues or the specific service/installation is completed, whichever occurs first. Failure to bring a claim within this three (3) month period shall constitute an absolute and irrevocable waiver of the Client's right to pursue such claim, and the claim shall be forever barred.

(d) Essential Carve-Outs & Exceptions. The limitations and exclusions set forth in Sections (a), (b), and (c) shall apply to the fullest extent permitted by law, except that nothing in this Agreement shall limit or exclude either party's liability for: (i) death or personal injury caused by negligence; (ii) fraud, fraudulent misrepresentation, or willful misconduct; or (iii) a breach of confidentiality or intellectual property ownership provisions set forth herein.

10. Indemnification

(a) Client Indemnity. The Client agrees to indemnify, defend, and hold harmless Discounts Mania Ltd, its directors, officers, employees, agents, and affiliates (collectively, the "Indemnified Parties") from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal and attorneys' fees) arising out of or relating to:

• (i) Intellectual Property Infringement: Any claims that data, logos, text, or materials provided by the Client to Discounts Mania Ltd for use in website design, branding, or software deployment infringe upon the intellectual property rights of a third party.
• (ii) Regulatory Non-Compliance: Any fines, penalties, or legal claims resulting from incorrect, fraudulent, or incomplete information provided by the Client for business registration (CAC), VAT setup, or other regulatory compliance services.
• (iii) Data and System Misuse: Any claims arising from the Client's post-installation use or management of ERP, CRM, or HRM systems, including data breaches caused by the Client's internal security failures, unauthorized employee access, or improper data migration inputs.
• (iv) Breach of Contract: Any material breach by the Client of the terms, representations, or warranties contained in this Agreement.

(b) Indemnification Procedure. Discounts Mania Ltd shall promptly notify the Client in writing of any claim for which it seeks indemnification. The Client shall have the right to assume the defense of the claim at its own expense using legal counsel approved by Discounts Mania Ltd. Discounts Mania Ltd reserves the right to participate in the defense of any such claim with counsel of its own choosing at its own expense. The Client shall not settle any claim without the prior written consent of Discounts Mania Ltd, which shall not be unreasonably withheld.

11. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria.
